Register Corporate Tax Small Business in UAE

How to Register for Corporate Tax as a Small Business in the UAE

A lot of small business owners in the UAE still operate on a belief that was once true and no longer is: if your revenue is under a certain number, corporate tax simply doesn’t apply to you. It’s close to the truth, but not quite right, and the gap between the two can have real financial consequences.

Whether you are completing a business setup in Dubai, starting a consultancy, managing a mainland company, or operating a free zone company in the UAE, Corporate Tax compliance needs to be considered from the beginning.

Here’s how small business Corporate Tax registration actually works in the UAE, and how Small Business Relief fits into it.

Corporate Tax Applies to Almost Everyone, Registration Included

UAE Corporate Tax applies to tax periods starting on or after 1 June 2023. Under the general Corporate Tax regime, taxable income up to AED 375,000 is subject to a 0% rate, while taxable income above AED 375,000 is generally taxed at 9%.

For UAE juridical persons such as LLCs and other incorporated companies subject to Corporate Tax, registration with the Federal Tax Authority is required even if the business ultimately has no Corporate Tax payable. This applies to businesses established through company formation in Dubai, mainland jurisdictions, and UAE free zones.

Natural persons are treated differently. An individual carrying on a business or business activity in the UAE is generally required to register for Corporate Tax when turnover from those business activities exceeds AED 1 million during a Gregorian calendar year. Salary, personal investment income and qualifying real estate investment income are excluded from this test.

This distinction is particularly important for freelancers, sole establishments and entrepreneurs undertaking a new UAE business setup.

Missing an applicable Corporate Tax registration deadline can result in an AED 10,000 administrative penalty, although the FTA currently provides a late-registration penalty waiver mechanism where the prescribed conditions are satisfied.

FounderX Insight: We regularly meet founders who assume that because their revenue is modest, they can skip registration entirely. For incorporated companies, that assumption can create compliance problems. Registration and the relief that might bring your Corporate Tax bill to zero are two different steps.

Step 1: Register Your Business on EmaraTax

Corporate Tax registration happens through the FTA’s EmaraTax portal.

You’ll generally need your trade licence or commercial registration details, incorporation documents, Memorandum of Association or equivalent constitutional documents, identification documents for relevant owners and authorised signatories, and proof that the person submitting the application is authorised to act for the business.

Once the application is approved, the business receives a Corporate Tax Registration Number. This Corporate Tax registration is separate from VAT registration and should form part of the compliance process following company registration in the UAE.

For entrepreneurs going through business setup in Dubai or company formation in the UAE, it is better to identify the Corporate Tax requirements during the setup stage rather than waiting until the first tax-return deadline approaches.

Step 2: Understand Small Business Relief

Small Business Relief is the mechanism that allows many eligible small businesses to reduce their Corporate Tax compliance burden and be treated as having no taxable income for an eligible tax period.

To qualify, your business generally needs to:

  • Be a UAE Resident Person for Corporate Tax purposes.
  • Have revenue of AED 3 million or less in the relevant tax period and every previous tax period beginning on or after 1 June 2023.
  • Not be part of a multinational enterprise group with consolidated group revenue exceeding AED 3.15 billion.
  • Not be a Qualifying Free Zone Person benefiting from the Qualifying Free Zone Person regime.

The revenue test is the part that catches people out. It isn’t just about your current tax period. If your revenue exceeds AED 3 million in one tax period, Small Business Relief will not be available in subsequent tax periods under the scheme, even if your revenue later falls below AED 3 million.

This can also be important when choosing between mainland and free zone company formation. A normal Free Zone Person may potentially qualify for Small Business Relief if all conditions are satisfied, but a Qualifying Free Zone Person cannot elect for Small Business Relief.

Important 2026 Update

Small Business Relief was originally available only for tax periods ending on or before 31 December 2026. However, the UAE Ministry of Finance announced in August 2026 that the relief has been extended.

The AED 3 million revenue threshold now continues to apply to eligible tax periods ending on or before 31 December 2029, subject to the other eligibility requirements.

This extension gives startups and small businesses completing a UAE business setup additional time to benefit from the relief where they meet the applicable conditions.

Step 3: Elect the Relief When You File, Not Before

This is the step people most often get wrong.

Small Business Relief is not automatic. Even if your business clearly qualifies, you must elect for the relief for the relevant tax period when completing your Corporate Tax Return.

The election is made for each eligible tax period. If the conditions are satisfied and the election is made correctly, the business is treated as having no taxable income for that period.

This means that choosing Small Business Relief is separate from your original Corporate Tax registration.

For businesses using business setup services in Dubai or working with business setup consultants in Dubai, Corporate Tax planning should therefore include both registration and an assessment of whether Small Business Relief can be elected when the return becomes due.

Step 4: File a Simplified Return, Even at Zero Tax

Qualifying for Small Business Relief can bring the Corporate Tax liability for the eligible period to zero, but it doesn’t remove the obligation to file.

Businesses that elect for Small Business Relief are still required to submit a Corporate Tax Return. The FTA confirms that eligible businesses can file a simplified return with fewer fields compared with a standard Corporate Tax Return.

The return generally needs to be submitted within nine months from the end of the relevant tax period. A business with a financial year ending on 31 December, for example, would generally have until 30 September of the following year to file its Corporate Tax Return and settle any Corporate Tax payable.

So even if your Corporate Tax due is AED 0, filing remains an important compliance obligation.

Step 5: Keep Your Records Straight

Small Business Relief simplifies Corporate Tax compliance, but it does not remove the requirement to maintain proper financial records.

The FTA requires Taxable Persons benefiting from Small Business Relief to maintain records and supporting documents that allow the Authority to verify their revenue, taxable income information and eligibility for the relief.

These may include transaction records, details of business assets and liabilities, ownership information and other supporting financial documents relevant to the business.

Your accounting information should therefore remain consistent across your Corporate Tax Return, VAT records where applicable, bookkeeping systems and supporting business documents.

For a new company formation in Dubai or any setup company in UAE process, introducing organised bookkeeping from the beginning is far easier than rebuilding several months of financial records when the Corporate Tax filing deadline arrives.

What This Means If You’re Just Starting Out

If you’re setting up a new small business, consultancy, startup or freelance operation in the UAE, Corporate Tax should be part of your planning from day one.

Anyone considering business setup in Dubai, company formation in UAE, or registering a new mainland or free zone company should understand three separate questions:

  1. Does the business need to register for Corporate Tax?
  2. When is its registration deadline?
  3. Can it elect for Small Business Relief when its Corporate Tax Return is filed?

Getting registered at the correct time, understanding whether Small Business Relief applies to your structure, and building simple bookkeeping habits from the start can save considerable stress when your first filing deadline arrives.

For an individual freelancer or sole establishment, remember that Corporate Tax registration rules are different from those applying to an incorporated company. Natural persons generally become subject to registration when UAE business turnover exceeds AED 1 million in a Gregorian calendar year.

Mainland vs Free Zone: Does Corporate Tax Registration Change?

One common misconception during business setup in Dubai mainland or business setup in Dubai free zone is that choosing a particular jurisdiction automatically removes Corporate Tax obligations.

It doesn’t.

A mainland company subject to Corporate Tax must comply with the applicable registration and filing requirements. Free Zone entities are also generally required to register and file Corporate Tax Returns.

What may differ is the tax treatment available after registration. A Free Zone Person that meets the conditions to become a Qualifying Free Zone Person may benefit from the specific Free Zone Corporate Tax regime on Qualifying Income, while an eligible Resident Person that is not a Qualifying Free Zone Person may instead consider Small Business Relief where the conditions are satisfied.

This makes Corporate Tax an important consideration when comparing company formation in Dubai mainland with establishing a free zone company in UAE.

FounderX Insight

The businesses that struggle most with Corporate Tax aren’t necessarily the ones with complicated finances. They’re often the ones that registered late, assumed relief was automatic, or didn’t understand how their legal structure affected their Corporate Tax obligations.

For companies going through company registration in UAE, Corporate Tax should be treated as part of the overall business setup process rather than something to think about months after the trade licence is issued.

The rules become far easier to manage when registration, accounting and filing responsibilities are identified from the beginning.
